Client Responsibilities

Clients are responsible for providing timely approvals, operational support, lawful access, accurate information, required credentials, and necessary materials required for project execution. Delays arising from incomplete communication, delayed approvals, operational restrictions, or lack of coordination from the client side may impact timelines, campaign execution, and deliverables.

Advertising Compliance

Clients represent and warrant that all advertisements, content, promotional claims, trademarks, menus, images, videos, licenses, hospitality permits, and materials shared with Ukiyo Solution are legally owned or authorized for use.

Clients remain solely responsible for compliance with advertising laws, F&B regulations, hospitality laws, alcohol promotion guidelines, trademark ownership, and all applicable legal requirements. Ukiyo Solution shall not be liable for platform suspensions, takedowns, copyright disputes, legal notices, or regulatory actions arising from client-provided content or instructions.

Clients represent and warrant that all advertisements, content, promotional claims, trademarks, menus, images, videos, licenses, hospitality permits, and materials shared with Ukiyo Solution are legally owned or authorized for use.

Clients remain solely responsible for compliance with advertising laws, F&B regulations, hospitality laws, alcohol promotion guidelines, trademark ownership, and all applicable legal requirements. Ukiyo Solution shall not be liable for platform suspensions, takedowns, copyright disputes, legal notices, or regulatory actions arising from client-provided content or instructions.

Intellectual Property

Unless otherwise agreed in writing, all branding systems, strategies, campaign structures, production concepts, ad frameworks, source files, editable designs, operational systems, and creative assets developed by Ukiyo Solution shall remain the intellectual property of the company until full payment clearance.

Unauthorized copying, resale, modification, duplication, or distribution of such materials without written permission is prohibited.

Influencer & Creator Collaborations

For influencer campaigns, hospitality stays, creator trips, brand activations, and travel collaborations, Ukiyo Solution acts primarily as a facilitator and campaign coordinator between brands, creators, vendors, and hospitality partners.

Campaign performance, engagement, timelines, content quality, and creator participation remain dependent on creator cooperation, operational feasibility, audience behavior, and platform algorithms. Ukiyo Solution shall not be liable for creator misconduct, delays, cancellations, low engagement, reputational issues, or disputes arising between brands and creators.

Separate LOEs, creator agreements, or campaign contracts may be executed wherever required.

For hospitality events, influencer stays, nightlife activations, restaurant campaigns, villa promotions, and travel-related collaborations, clients are responsible for operational management, hospitality quality, permissions, guest safety, venue compliance, and local legal approvals.

Ukiyo Solution shall not be liable for accidents, losses, operational disruptions, injuries, travel issues, or third-party disputes arising during events or collaborations.

Unless otherwise agreed, raw footage, editable source files, production assets, and unedited materials shall remain the property of Ukiyo Solution.

Production Services

For production shoots involving hospitality brands, hotels, resorts, restaurants, cafes, nightlife venues, villas, and events, timelines and outputs may be affected by operational restrictions, weather conditions, lighting limitations, guest interference, staffing availability, travel disruptions, or unforeseen circumstances.

Website Development & SEO

For website development services, additional charges may apply for domain registrations, hosting services, APIs, software licenses, plugins, maintenance, and third-party integrations. Ukiyo Solution shall not be liable for downtime, cyberattacks, hosting failures, plugin conflicts, search engine algorithm changes, or third-party software limitations.

SEO rankings and website traffic improvements depend on market competition, algorithm updates, content quality, and external search engine factors and therefore cannot be guaranteed.

Clients agree not to directly solicit, recruit, hire, or bypass employees, freelancers, creators, vendors, photographers, developers, editors, media buyers, or collaborators introduced by Ukiyo Solution during the engagement period and for a period of twelve months thereafter without prior written consent.
